Elon Musk confirms that SpaceX and Tesla have formed special committees to evaluate a possible combination of the two companies, with no deal terms agreed and shareholder approval required
Elon Musk disclosed on Tuesday that the boards of SpaceX and Tesla have established separate committees to examine the feasibility of a merger. He described the idea as potentially beneficial but stressed that no agreements have been reached and that the outcome is not assured. Musk, who serves as CEO of both entities, stated that he is a conflicted party and is stepping aside from the discussions.
The announcements followed SpaceX’s release of its third-quarter earnings results. Musk said the review process is underway amid strong growth across both companies’ operations.
SpaceX reported revenue of $14.58 billion in the third quarter, representing a 161 percent increase from the same period last year. Net income reached $4.4 billion after a loss the prior year. The company’s Super Intelligence segment drove much of the growth, generating $7.56 billion, or more than half of total revenue. Starlink connectivity also expanded 69 percent year-over-year.
Musk projected that SpaceX could achieve an annual recurring revenue run rate of between $500 billion and $1 trillion by the end of 2027, assuming continued expansion in compute capacity. The company spent $19.59 billion on capital expenditures during the quarter.
Analysts estimate the combined entity would be valued at roughly $2 trillion for SpaceX and $1.5 trillion for Tesla. Under one hypothetical scenario modeled by Royal Bank of Canada, existing SpaceX shareholders would retain about 52 percent ownership after a transaction at $480 per Tesla share.
Any agreement would require approval from at least 50 percent of Tesla shareholders, a threshold Musk described as high. The companies have not released formal terms, and future Q3 results from both are expected to provide additional clarity on their financial positions and strategic options.
Combined SpaceX and Tesla would hold 30,221 bitcoins in treasury. SpaceX owns 18,712 BTC while Tesla holds 11,509 BTC. This treasury would represent a significant cryptocurrency reserve within the merged structure.
Shares of both companies and related entities showed mixed performance in the session following the disclosure. The potential union of SpaceX’s rocket, satellite, and AI infrastructure with Tesla’s autonomous driving, robotaxi, and humanoid robot efforts could accelerate innovation in multiple high-growth sectors. Analysts will monitor how capital expenditures, debt financing needs, and regulatory considerations factor into any future combination.
Third-quarter earnings from both firms are scheduled for release this week, offering further details on revenue trends, profitability, and spending that will influence the direction of the review committees’ work.
