Shareholders of the Nasdaq-listed Super League have approved a major transaction that will give Japanese Bitcoin treasury firm Metaplanet a 93.7 percent stake in the gaming and digital media company. The deal brings Metaplanet direct access to U.S. capital markets for financing additional Bitcoin acquisitions
Super League shareholders have greenlit the proposed deal under which Metaplanet will contribute 2,100 Bitcoin and $2.5 million in cash at closing. In exchange, Metaplanet will receive approximately 44.86 million common shares, 100 shares of strategic alliance preferred stock with governance rights, and warrants for additional common stock.
The transaction will deliver Metaplanet full control of Super League, including the authority to designate a majority of the board and approve significant corporate actions such as charter amendments or mergers. Metaplanet’s shares will carry a five-year lock-up period.
Following the closing, Super League will rebrand as Superplanet and switch its Nasdaq ticker from SLE to SUPA. The new platform will prioritize growing its Bitcoin holdings per share rather than relying primarily on traditional debt.
Metaplanet will use the U.S.-listed structure to raise capital through senior, non-convertible perpetual preferred shares, offering an alternative to yen-denominated financing in Japan. The company can also elect to invest up to $210 million in junior preferred stock over a 24-month period after closing.
Superplanet plans to issue additional preferred shares to fund further Bitcoin acquisitions without depending heavily on conventional borrowing. The approach builds on Metaplanet’s existing strategy of allocating up to 15 percent of assets for strategic investments aimed at supporting Bitcoin treasury growth and dividend payments.
Metaplanet already maintains one of the largest corporate Bitcoin treasuries, holding more than 44,000 Bitcoin and placing it as the second-largest publicly traded Bitcoin holder globally.
The deal represents a significant expansion for Metaplanet into American markets, where Bitcoin treasury companies have shown growing appeal for preferred securities. By combining its Japanese platform with the U.S. entity, Metaplanet aims to create complementary capital-raising capabilities across two of the world’s largest financial centers.
Superplanet’s focus on Bitcoin holdings per share distinguishes it from traditional gaming and media operations. The stock of Super League surged more than 9 percent on the day of shareholder approval, reaching around $5, and rose 61 percent over the prior three months.
Metaplanet CEO Simon Gerovich described the transaction as a milestone that positions the company as a global Bitcoin-native financial platform. The move also aligns with industry trends among publicly traded firms building substantial Bitcoin reserves.

This acquisition comes as Metaplanet continues to scale its treasury operations through targeted purchases. The company recently explored convertible bond issuances and strategic investments to support its Bitcoin accumulation goals. The U.S. move provides a new funding channel that complements existing Japanese resources and broadens international reach.
Industry observers note that corporate Bitcoin treasuries have become an increasingly common corporate strategy, with firms using listed vehicles to attract investors seeking exposure to both digital assets and traditional equity markets. Superplanet’s structure positions it to participate in this trend while leveraging Metaplanet’s expertise in Bitcoin accumulation.
The rebrand and ticker change will take effect at closing, with the company continuing to report on its progress in Bitcoin treasury management and capital deployment.
