The passive fund's first reported holding of 4.5 million shares in the Japanese company arrives as Metaplanet stock ends lower and the firm maintains 44,000 bitcoin on its balance sheet
Vanguard's FTSE All-World ex-US Small-Cap ETF has disclosed a new position in Metaplanet, the Tokyo-listed firm that has built one of the largest corporate bitcoin treasuries. The VSS fund reported ownership of 4.5 million shares valued at about $7.5 million, marking its first disclosed stake in the company.
The disclosure, flagged on October 26, drew notice because Vanguard ranks as the world's second-largest asset manager with more than $13 trillion under management. The firm has long maintained a cautious public stance on digital assets, yet several of its products already hold Metaplanet equity.
Other Vanguard vehicles already maintain sizable Metaplanet positions. The Total International Stock Index Fund was previously reported to hold 15.64 million shares valued near $53.5 million. The FTSE Japan ETF acquired 704,500 shares last year, worth roughly $2.1 million at the time.
VSS tracks a broad international small-cap equity index covering thousands of stocks outside the United States. As a passively managed product, its portfolio composition is driven by index eligibility rules rather than discretionary bets on individual business strategies. The $7.5 million Metaplanet position represents a small fraction of the ETF's roughly $11 billion to $12 billion in assets, less than 0.1 percent of the fund.
The distinction is material. Ownership of Metaplanet shares provides indirect exposure to the company's bitcoin holdings through equity performance, but it does not constitute a direct purchase of the cryptocurrency by the fund or by Vanguard.
Metaplanet held 44,000 bitcoin as of September 30, positioning it as the second-largest publicly listed corporate holder of the asset. During the third quarter the company sold 10,000 bitcoin and acquired 11,000, resulting in a net increase of 1,000 coins.
Management has adjusted capital allocation targets to keep approximately 85 percent to 90 percent of assets in bitcoin, with the balance reserved for acquisitions and income-generating investments. The firm has also pursued financing that includes zero-interest convertible bonds expected to raise about $340 million, with proceeds earmarked for debt repayment and share repurchases. In mid-October Metaplanet bought back nearly 74 million common shares.
Capital Group has become the company's largest shareholder, holding 11.45 percent of shares valued near $500 million. Other institutional holders include JPMorgan, Citigroup and State Street.
Despite the Vanguard disclosure, Metaplanet shares closed Monday at 263 yen on the Tokyo Stock Exchange, down 0.75 percent. The stock traded in a range of 254 yen to 269 yen on volume of roughly 13 million shares, below its recent average of about 27 million. U.S. over-the-counter shares closed the prior session at $1.66, up 0.30 percent.
The muted price response illustrates the challenges facing bitcoin treasury companies. Share performance depends not only on the value of bitcoin reserves but also on capital structure, dilution from equity issuance, debt levels and investor assessments of future accumulation capacity. Metaplanet has previously conducted share buybacks and explored alternative financing as its valuation faced pressure.
The company continues work on a U.S. bitcoin treasury subsidiary through an agreement with Super League Enterprise. Shareholders of the Nasdaq-listed firm have approved the plan to form an entity expected to operate under the Superplanet name, with Metaplanet projected to hold majority ownership. Completion remains subject to closing conditions, with the fourth quarter of 2026 identified as a target window.
Vanguard funds have also maintained exposure to other bitcoin-focused equities, including Strategy, while certain products have gained access to regulated digital-asset investment vehicles covering bitcoin, ethereum, XRP and solana. The latest Metaplanet disclosure adds another layer of institutional equity exposure to a company whose primary corporate strategy centers on bitcoin accumulation.
