Asset manager files amended registration to restructure LTCN product amid ongoing regulatory review and existing competition from a smaller rival fund
Grayscale submitted an amended S-3/A registration statement on September 11 seeking to convert its Litecoin Trust into an exchange-traded fund. The proposal would rename the product the Grayscale Litecoin Trust ETF while retaining the LTCN ticker and pursuing a listing on NYSE Arca.
The trust, established in January 2018, has traded on over-the-counter markets. The conversion would introduce standard creation and redemption mechanisms, allowing authorized participants to create or redeem baskets of 10,000 shares in cash. Coinbase is designated to serve as prime broker and provide custody for the underlying assets.
This step follows a Rule 19b-4 application filed by NYSE Arca in January 2025 to enable the trust-to-ETF conversion. That application remained pending as of the latest filing. Approval from both the Securities and Exchange Commission and NYSE Arca is required before any listing can occur.
As of June 30, the trust reported approximately $82.3 million in net asset value, down from more than $215 million in early 2025. It held about 1.97 million Litecoin and had 24.25 million shares outstanding, with a net asset value of roughly $3.39 per share.
Shares of LTCN have frequently diverged from the value of the underlying Litecoin. Between August 2020 and June 2026, the product reached a maximum premium of 5,893 percent and a maximum discount of 67 percent. Average premiums stood at 592 percent and average discounts at 26 percent. On September 9, LTCN closed at $4.01, representing an 8 percent discount to net asset value.
An ETF structure is expected to reduce these gaps by enabling arbitrage through share creation and redemption, potentially improving liquidity and price alignment with Litecoin holdings.
Litecoin traded near $53.45 to $53.65 in recent sessions, with a market capitalization of about $4.15 billion and a circulating supply of roughly 77.6 million coins. The asset has shown limited immediate reaction to the filing.
Canary Capital already offers a Litecoin ETF under the ticker LTCC, which began trading on Nasdaq in October 2025. As of September 11, that fund held approximately $7.01 million in net assets with cumulative net inflows of about $10.15 million since launch. Daily activity has remained modest compared with major Bitcoin and Ethereum products.
Grayscale previously completed similar conversions for its Bitcoin and Ethereum trusts, which became among the larger crypto-related exchange-traded funds. The Litecoin product would enter the market with a larger existing asset base than the Canary fund, though actual inflows will determine whether broader demand materializes.
The conversion cannot take effect until the related exchange rule receives clearance. Regulatory timelines have already extended beyond earlier targets. Once approvals are secured, a listing could proceed relatively quickly.
Until then, LTCN continues to trade as an over-the-counter trust. The proposed changes aim to offer investors regulated exposure to Litecoin through traditional brokerage accounts without the need to hold the cryptocurrency directly.
